Terms of Service

Cycos (the “Service”) is operated by Kaniku Labs LLC, a limited liability company organized in Ohio, United States (“Kaniku Labs LLC,” “we,” “us,” or “our”). By creating an account, hosting a ride, joining a ride, or otherwise using the Service, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.

1. What Cycos is and is not

Cycos is an online platform that helps cyclists discover, list, and coordinate community group rides. We are a neutral venue for information posted by users.

We do not organize, lead, sponsor, supervise, or control any ride.Rides are created and led by independent users (“Hosts”). We do not vet, verify, or endorse Hosts, riders, routes, road or traffic conditions, distances, pace, difficulty, rider fitness, equipment, or compliance with the law. Any information on the Service may be inaccurate, incomplete, or out of date. You are solely responsible for evaluating whether any ride is safe and appropriate for you.

2. Assumption of risk

Cycling is a dangerous activity. It carries inherent and other risks, including but not limited to: collisions with vehicles, other cyclists, pedestrians, animals, or fixed objects; falls; road, weather, and trail hazards; mechanical failure; the conduct of Hosts, other riders, and third parties; and serious personal injury, permanent disability, or death. You understand these risks, and you knowingly and voluntarily assume all risks (known and unknown) arising from your use of the Service and participation in any ride, whether or not caused by negligence.

3. Release and waiver of liability

To the fullest extent permitted by law, you release, waive, and discharge Kaniku Labs LLCand its members, officers, employees, and agents (the “Released Parties”) from any and all claims, demands, damages, costs, and liabilities of any kind arising out of or related to your use of the Service or participation in any ride, including claims based on the negligence of the Released Parties. This release does not apply to liability that cannot be waived under applicable law (for example, gross negligence, willful misconduct, or recklessness where the law prohibits their waiver).

4. Hosts

If you host a ride, you are solely responsible for it, including the route, meeting point, safety, supervision, communications with riders, and compliance with all applicable laws, permits, and traffic regulations. You represent that the information you post is accurate and that you have the right to post it. You agree to the indemnification below with respect to your rides.

5. Eligibility

You must be at least 18 years old to create an account or use the Service. By using the Service you represent that you are 18 or older.

6. Your account and conduct

You are responsible for your account and for keeping your credentials secure. You agree not to: post false, misleading, unlawful, harassing, or infringing content; impersonate others; use the Service to spam or solicit; interfere with or disrupt the Service; or use it for any unlawful purpose. We may suspend or terminate any account at our discretion.

7. User content

You retain ownership of the content you post (ride listings, descriptions, profile information, photos). You grant Kaniku Labs LLC a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content for the purpose of operating and promoting the Service. You are responsible for your content and represent that you have the rights to it.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Released Parties from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your rides, your content, your violation of these Terms, or your violation of any law or the rights of any third party.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy, reliability, or safety of any ride or information on the Service.

10. Limitation of liability

To the fullest extent permitted by law, the Released Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to the Service or any ride. Because the Service is provided free of charge, our total aggregate liability for any claim relating to the Service will not exceed USD $0.

11. Dispute resolution; arbitration and class-action waiver

Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court. You and Kaniku Labs LLC waive any right to a jury trial and to participate in a class action. Disputes will be resolved on an individual basis only.

12. Governing law

These Terms are governed by the laws of the State of Ohio, United States, without regard to its conflict-of-laws rules. Subject to the arbitration provision above, the exclusive venue for any dispute will be the state and federal courts located in Ohio.

13. Changes

We may update these Terms from time to time. If we make material changes, we will update the date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance.
